End-User License Agreement
1. Agreement
This agreement is between Pivot Practice Technologies, LLC, a Georgia limited liability company ("PivotSolvo," "we," "us"), and the accounting firm or other organization that subscribes to PivotSolvo ("Firm"), including the individuals the Firm authorizes to use it ("Users"). By signing in to or using PivotSolvo, you accept this agreement on behalf of yourself and, if you are acting for a Firm, on behalf of the Firm. Fees, plan details, and any special terms are in the Firm's separate subscription order, which controls if it conflicts with this agreement.
2. License
While the Firm's subscription is active, we grant the Firm a limited, non-exclusive, non-transferable, revocable right to access and use PivotSolvo for the Firm's own professional practice. The Firm may not resell the service, give access to another firm, copy or reverse engineer it, or use it to build a competing product.
3. Accounts and users
Accounts are created by PivotSolvo or by the Firm. The Firm is responsible for choosing its Users, keeping their sign-in details confidential, removing access promptly when a User leaves, and everything done under its accounts.
4. The Firm's responsibilities
- Professional judgment. PivotSolvo produces findings and proposed entries using AI. These are proposals to support a qualified professional and are not accounting, tax, legal, or financial advice. The Firm and its Users are solely responsible for reviewing every output and for the professional decisions made from it, including any entry approved for posting.
- Authority and consent. The Firm must have the right to connect each client's records, including any client consent or engagement terms required by law or professional standards, and any consent required to disclose tax return information.
- Accuracy. The Firm is responsible for the accuracy and completeness of the data and documents it provides.
- Approval before changes. Changes to a client's books are made only after an authorized User approves them. The Firm is responsible for who holds that authority.
5. Connecting to QuickBooks
Connecting to QuickBooks Online happens through Intuit's authorization process and is subject to Intuit's own terms. The Firm may disconnect at any time. PivotSolvo is not responsible for changes, outages, or limits imposed by Intuit.
6. Acceptable use
You may not use PivotSolvo to break the law, to access data you are not authorized to see, to interfere with or probe the security of the service, to introduce malware, or to submit content you have no right to share.
7. Your data
As between the Firm and PivotSolvo, the Firm keeps all rights in the data and documents it provides. We use that data only as described in our Privacy Policy, and we may use anonymous, aggregated usage information to run and improve the service. We keep our rights in the platform, its software, and everything we create.
8. Fees
Fees are as stated in the Firm's subscription order and are payable as stated there. We may change fees on advance written notice.
9. Confidentiality
Each party will protect the other's non-public information with reasonable care and use it only to perform under this agreement, except as the law requires.
10. Suspension and termination
Either party may end the subscription as the order allows. We may suspend or restrict access immediately if we believe it is needed to protect the platform, a Firm's data, or others, including pausing a single Firm or the whole service. When the subscription ends, the Firm's access stops and its data is handled as described in the Privacy Policy.
11. Disclaimers
PivotSolvo is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the service will be uninterrupted or error-free, or that AI output will be complete or correct.
12. Limitation of liability
To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, and PivotSolvo's total liability under this agreement is limited to the fees the Firm paid in the 12 months before the event that gave rise to the claim. These limits do not apply where the law does not allow them.
13. Indemnity
The Firm will defend and compensate PivotSolvo against third-party claims arising from the Firm's data, its lack of authority to connect a client's records, its misuse of the service, or its professional work product.
14. Governing law
This agreement is governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Georgia.
15. Changes and general terms
We may update this agreement and will tell Firms about material changes in advance; continued use after the effective date means acceptance. This agreement, with the Firm's subscription order, is the whole agreement between the parties. If a part is unenforceable, the rest remains in effect. Neither party may assign this agreement without the other's consent, except to a successor in a merger or sale of the business.
